You have a good memory, Nocera acquires 30% stake in Taiwan memory distributor QMAX
Nocera, Inc. (NCRA) has acquired a 30% controlling interest in QMAX Technology Co., Ltd., a Taiwan-based authorized distributor of Micron and Crucial memory and storage products, through a variable interest entity structure, according to a press release from the company.
The transaction, effective July 28, 2026, was structured as an all-stock deal. Nocera issued 300,000 shares of restricted common stock at $1.36 per share — the closing price on July 27, 2026 — for an aggregate purchase price of $408,000. No cash consideration was exchanged. The shares were issued under Regulation S and/or Section 4(a)(2) of the Securities Act of 1933 and are subject to a lock-up and leak-out arrangement.
The VIE structure includes a voting rights proxy, an equity pledge, an exclusive call option and an exclusive business cooperation agreement with Chien-Hua Tseng, QMAX’s registered equity holder.
Founded in 2015, QMAX distributes DDR5 desktop and notebook memory, ECC server memory and enterprise and consumer solid-state drives. The company reported revenue of approximately $1.36 million in fiscal 2025, which it said represented nearly tenfold growth from fiscal 2023.
