We need more security, VisionWave signs term sheet to acquire majority stake in D-Fence
VisionWave Holdings, Inc. (Nasdaq: VWAV) has signed a non-binding term sheet to acquire at least 51% of D-Fence Electronic Fencing Systems Ltd., an Israeli developer of AI-powered perimeter security systems, according to a press release from the company.
The initial acquisition carries an implied valuation of approximately $5 million, with the remaining 49% subject to an option exercisable over two years at an implied valuation of approximately $20 million. The transaction would be structured as an all-stock deal, with a price protection adjustment mechanism that could result in the issuance of additional VisionWave shares after closing.
The term sheet is binding only on provisions covering exclusivity, confidentiality, expenses, governing law and termination. A definitive Share Purchase Agreement has not yet been executed, and there is no assurance the transaction will be completed. The parties aim to execute a definitive agreement by September 30, 2026, with closing targeted for October 2026, subject to due diligence, shareholder approval, regulatory clearance and customary closing conditions.
