Putting your money where your mouth is, Curium to acquire Lantheus in deal valued at up to $8 billion

Curium, a radiopharmaceutical company controlled by private equity firm CapVest Partners, has entered into a definitive agreement to acquire all outstanding shares of Lantheus Holdings (NASDAQ: LNTH) in a transaction valued at up to approximately $8.0 billion.

Under the terms of the deal, Curium US Holdings LLC will pay Lantheus shareholders $102.50 per share in cash at closing, plus non-transferable Contingent Value Rights worth up to $12.00 per share, bringing the total potential consideration to $114.50 per share. The CVR payments are contingent on the achievement of specified commercial sales milestones across Lantheus’ prostate cancer diagnostics, neurology diagnostics, and DEFINITY product lines through 2030.

The closing price consideration of $102.50 represents a premium of 21% to Lantheus’ unaffected closing price as of May 21, 2026, the last trading day prior to the first media report of a potential sale. The total potential consideration of $114.50 represents a 38% premium to Lantheus’ unaffected 60-day volume-weighted average price and a 29% premium to its 30-day volume-weighted average price, both measured as of that same date.

The Lantheus Board of Directors unanimously approved the transaction following a review of strategic alternatives. Lantheus will continue operating as an independent, publicly traded company until the deal closes. Upon completion, it will be delisted.
