Organic synergies, ScottsMiracle-Gro to acquire Black Kow brand

The Scotts Miracle-Gro Company (SMG) announced it intends to acquire the Black Kow brand from Organics Management, exercising a purchase option that was part of a licensing agreement signed in January 2026. The deal is expected to close in October, though financial terms were not disclosed.

Under the January agreement, ScottsMiracle-Gro became the exclusive producer, distributor, and marketer of Black Kow. The brand, which has been in operation for 57 years, focuses on soil amendments, including organic amendments, mature manure, and specialty soils.

Nate Baxter, president and CEO of ScottsMiracle-Gro, said the acquisition reflects the company’s multi-year SMG 2.0 growth plan and its merger-and-acquisition strategy of integrating tuck-in brands into its core lawn and garden business. The company said it plans to expand Black Kow’s national availability and scale the brand.

Chief Financial Officer Mark Scheiwer said the acquisition is expected to be accretive to earnings per share beginning in its first year and consistent with the company’s established margin profile. He added that the deal supports the company’s leverage ratio targets.
