High quality, Umios to acquire High Liner Foods for C$27 per share in cash

High Liner Foods Incorporated (HLF) has entered into a definitive arrangement agreement to be acquired by Umios Corporation (1333) for C$27.00 per share in cash, according to a company statement released Oct. 26, 2026.
The offer represents a premium of approximately 79% to High Liner Foods’ closing share price on the Toronto Stock Exchange on Oct. 23, 2026, and 86% to its 20-day volume-weighted average price. The transaction values the company at approximately C$804 million on a fully diluted equity basis and C$1.25 billion on an enterprise value basis.
The acquisition will be carried out through a newly formed, wholly owned subsidiary of Umios incorporated in Nova Scotia. The transaction is fully financed and is not subject to a financing condition. Upon closing, High Liner Foods will repay its outstanding credit facilities in full.
