Dipping your hands in the cookie jar, ZenaTech acquires 10.1% stake in Boardwalktech Software
ZenaTech Inc. (ZENA) acquired 7.635 million common shares of Boardwalktech Software Corp., representing approximately 9.40% of the outstanding common shares, according to a press release. The shares were purchased at prices ranging from $0.035 to $0.05 per share on the TSX Venture Exchange on April 16, 2026.
Dr. Shaun Passley, ZenaTech’s chief executive officer, separately acquired 500,000 common shares of Boardwalktech at the same price range, representing approximately 0.61% of outstanding shares. Combined, ZenaTech and Passley hold approximately 8.315 million common shares, or 10.1% of Boardwalktech’s issued and outstanding shares.
Neither ZenaTech nor Passley owned any Boardwalktech shares prior to these purchases. The company stated the parties have an understanding to coordinate their acquisition and ownership of Boardwalktech securities, with an agreement to consult each other regarding voting and disposition of such securities, though no written agreement exists.
ZenaTech filed an early warning report under National Instrument 61-103, as required when acquiring more than 10% of a public company’s shares. The acquisition was made for investment purposes, and the company indicated it may participate in future financings or acquire or dispose of additional Boardwalktech securities.
