Cash is King, Thoma Bravo to acquire Accelerant in $4B-plus all-cash deal

Accelerant Holdings (ARX), a specialty insurance risk exchange platform, has agreed to be acquired by private equity firm Thoma Bravo in an all-cash transaction valued at more than $4 billion in enterprise value, according to a press release from the company.

Under the terms of the agreement, Accelerant’s Class A and Class B shareholders will receive $20.25 per share in cash, representing a 49% premium to the company’s closing share price on August 12, 2026. If the transaction is delayed due to pending insurance regulatory approvals, shareholders will receive a ticking fee accruing at 6% per annum for a period specified in the agreement.

Accelerant’s Board of Directors established a Special Committee comprised solely of independent and disinterested directors to review the transaction. The Special Committee unanimously recommended approval, which was then unanimously approved by the full board.
