A private matter, Luxfer to be taken private by Wynnchurch Capital 

Luxfer Holdings PLC (NYSE: LXFR) has agreed to be acquired by affiliates of Wynnchurch Capital, L.P. in an all-cash transaction at $17.37 per ordinary share, the company announced.

The offer price represents a roughly 30.7% premium to Luxfer’s closing share price of $13.29 on April 28, 2026, the last trading day before the company’s first quarter 2026 earnings release, when Luxfer disclosed it was conducting a strategic review.

Luxfer’s board of directors unanimously approved the transaction. The deal is not subject to financing conditions.

Andy Butcher, Luxfer’s chief executive officer, said the transaction “delivers compelling value for our shareholders while providing an excellent opportunity for our employees, customers and partners to continue building on Luxfer’s legacy of innovation.”

Greg Gleason, managing partner at Wynnchurch, cited Luxfer’s “leading technical capabilities, deep metallurgical expertise and mission-critical products serving attractive aerospace, defense and demanding industrial end markets.”
