A great deal, Ondas acquires DZYNE Technologies for $875.8 million
Ondas Inc. (ONDS) has acquired DZYNE Technologies, LLC in a transaction valued at $875.8 million, financed through a combination of $200 million in cash and approximately 85 million Ondas shares valued at roughly $675 million, according to a company statement.
DZYNE shareholders, led by Highlander Partners, will own approximately 13.8% of Ondas’ outstanding shares following the deal. Of the 85 million shares issued, 45 million are subject to a six-month lock-up period. Ondas also approved inducement grants of restricted stock units representing 500,000 shares and stock options exercisable for 1,500,000 shares at $7.92 per share to 255 newly hired employees, vesting over three years.
In connection with the acquisition, Ondas has formed a new operating division called Ondas Sentinel, which will combine DZYNE and World View under a unified structure. Ryan Hartman, previously chief executive of World View, will lead Ondas Sentinel as CEO, while DZYNE co-founder Matt McCue will serve as chief technology officer of the division.
DZYNE is expected to generate $191 million in revenue for full-year 2026 and more than $300 million in 2027. The company is projected to be EBITDA positive in 2026, with mid-teen EBITDA margins targeted for 2027, rising to the mid-20% range by 2028.
