nVent Electric plc (NVT) announced it has entered into a definitive agreement to acquire Maverick Power for a base purchase price of $1.75 billion, subject to customary adjustments, according to a company press release.
The deal includes potential additional consideration of up to $550 million in cash contingent on Maverick Power achieving certain performance metrics in 2027 and 2028, bringing the total possible transaction value to $2.3 billion.
Maverick Power is headquartered in McKinney, Texas, and employs approximately 900 people across Texas and Arizona. The company manufactures engineered power distribution and infrastructure solutions for data centers, including low-voltage switchgear and switchboards, medium-voltage switchgear, and integrated modular solutions. The company’s estimated 2026 revenues are approximately $700 million.
The base purchase price represents approximately 11.5 times Maverick Power’s anticipated 2026 adjusted EBITDA. Adjusted for the present value of expected tax benefits, that multiple falls to approximately 10.5 times.
