Let’s put this behind us, KKR to pay $250M to settle DOJ antitrust complaint

KKR & Co. (NYSE: KKR) has agreed to pay $250 million to the Antitrust Division of the Department of Justice to settle a civil antitrust complaint related to premerger notification requirements under the Hart-Scott-Rodino Act of 1976.

The complaint, filed on January 14, 2025, in the U.S. District Court for the Southern District of New York, concerned transactions entered into by KKR affiliates in 2021 and 2022. On August 26, 2026, KKR entered into a Stipulation and Order with the DOJ’s Antitrust Division to resolve the matter.

Under the terms of the stipulation, a KKR subsidiary will pay the $250 million penalty, and the Antitrust Division will release all defendants from claims made in the complaint. The DOJ also notified KKR that it has terminated all related investigations against the company and its affiliates. The proposed final judgment remains subject to judicial approval.

KKR stated that the civil penalty “will have no financial impact on the firm, our funds, or any of our investors and will be fully reimbursed by outside law firms.”
